Healthcare/Corporate Law Associate to join our team and contribute to our success.
Job Description:
The Healthcare/Corporate Law Associate will be responsible for:
1. Legal Counseling: Providing comprehensive legal support to healthcare and private equity sectors clients on a wide range of corporate law matters and healthcare law issues, including but not limited to mergers and acquisitions, corporate governance, compliance, securities, contracts, business transactions, regulatory compliance, healthcare transactions, medical malpractice, healthcare privacy, and more.
2. Regulatory Compliance: Assisting clients in understanding and adhering to federal, state, and local healthcare regulations and laws, such as HIPAA, Stark Law, and Anti-Kickback Statute.
3. Contract Review and Drafting: Reviewing and drafting various contracts, agreements, and legal documents, including purchase agreements, shareholder agreements, employment contracts, agreements with healthcare vendors, insurance providers and corporate policies.
4. Corporate Transactions: Assisting clients in various corporate transactions, such as mergers, acquisitions, divestitures, and joint ventures. Conducting due diligence and advising on the legal aspects of these transactions.
5. Regulatory Compliance: Ensuring clients’ compliance with applicable federal, state, and local regulations, including securities laws and corporate governance regulations.
6. Corporate Governance: Advising clients on corporate governance best practices, board meetings, and shareholder relations.
7. Research: Keeping up to date with changes in corporate law and healthcare laws and regulations, conducting legal research to support clients and making informed legal decisions.
8. Litigation Support: Providing support in litigation matters, such as contract disputes, corporate liability cases, medical malpractice cases, insurance disputes, and administrative hearings.
9. Due Diligence: Conducting due diligence in healthcare transactions, including mergers, acquisitions, and partnerships, to assess legal risks and ensure compliance.
10. Client Relations: Building and maintaining strong client relationships, ensuring that client needs are met effectively and professionally.
Qualifications:
To be successful in this role, you should possess the following qualifications:
- Juris Doctor (JD) degree and active state bar membership.
- Minimum of 1-3 years of experience in corporate law, preferably in a law firm, corporate legal department or healthcare institution.
- Strong knowledge of corporate laws, regulations, and best practices.
- Strong knowledge of healthcare regulations and laws, including HIPAA, Stark Law, and Anti-Kickback Statute Excellent communication, negotiation, and analytical skills.
- Proficiency in contract drafting and review.
- Excellent communication and negotiation skills.
- Strong research and analytical skills.
- Litigation experience is a plus.
- Commitment to maintaining client confidentiality and ethics.
- A portable book of business is not required but will be considered.
